(b) On March 13, 2006, Mr. Jeffrey P. Bourgoyne, Mannatech’s Senior Vice President of Supply Chain and Associate Care, tendered his resignation to pursue other interests.
Item 8.01. Other Events.
On March 14, 2006, Mannatech, Incorporated issued a press release announcing that on March 13, 2006, its Board of Directors declared a cash dividend payable on Monday, April 17, 2006 to shareholders of record at the close of business on Friday, March 31, 2006. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.

Mannatech Announces Dividend
Coppell, TX March 14, 2006—Mannatech, Incorporated (NASDAQ – MTEX) today announced that on Monday, March 13, 2006 its Board of Directors declared a dividend of $0.08 per common share, payable on Monday, April 17, 2006 to shareholders of record as of Friday, March 31, 2006. The dividend reflects the continued growth of Mannatech, as well as its commitment to encourage long-term investment in its common stock.
Sam Caster, Chairman and C.E.O of Mannatech, said, “We are pleased to again reward our shareholders for their ownership positions in our company. Our financial results have set new records, and we intend to continue to employ our cash flow in the best interests of all our investors.”
