Item 8.01. Other Events.

On October 2, 2006, Mannatech, Incorporated issued a press release announcing that its Board of Directors declared a cash dividend payable on Friday, October 27, 2006 to shareholders of record at the close of business on Friday, October 13, 2006. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.

Mannatech, Incorporated Declares Dividend

Coppell, TX – (NASDAQ – MTEX) –October 2, 2006 - Mannatech, Incorporated announced that its Board of Directors today declared a quarterly cash dividend of $0.08 per common share payable on Friday, October 27, 2006, to shareholders of record at the close of business on Friday, October 13, 2006. The dividend reflects a commitment to rewarding shareholders and encouraging long-term investment in Mannatech common stock.
