Item 8.01. Other Events.

On August 27, 2008, Mannatech, Incorporated issued a press release announcing that its Board of Directors declared a cash dividend on August 26, 2008 of $0.02 per share of Mannatech’s common stock. The cash dividend is payable on Monday, September 29, 2008 to its shareholders of record at the close of business on Wednesday, September 10, 2008. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.

Mannatech Declares Dividend

Coppell, TX, August 27, 2008 – Mannatech, Incorporated (NASDAQ—MTEX) announced that its Board of Directors declared a quarterly cash dividend on Tuesday, August 26, 2008 of $0.02 per share of common stock payable on Monday, September 29, 2008, to shareholders of record at the close of business on Wednesday, September 10, 2008. The dividend is a reduction of $0.07 per share from the dividend paid in the second quarter 2008.

Wayne Badovinus, president and CEO of Mannatech, said, “This marks the 18th dividend declared by our board since 2004. Reflecting our lower quarterly sales and recruiting, we believe it is financially prudent to adjust our dividend downward. Strong liquidity is an important factor in our on-going turnaround efforts and this action will make an important contribution. We believe in the quality of our products and the future of our company and we remain committed to returning value to our shareholders.”
